Overview & Responsibilities


Global Compliance Director is primarily responsible for overseeing and ensuring compliance with laws, regulatory requirements and company policies and procedure within the global organization.

This position shall oversee the design, development, evaluation and implementation of an established compliance program of Elliott Group and will provide assessments and enhancements to the program as needed to ensure its effectiveness in identifying, preventing, detecting and correcting noncompliance within the organization. Responsibilities include an ongoing review, evaluation of, and recommendations for resolution of compliance issues.

Elliott Group seeks to identify/evaluate and minimize risks via its policies and procedures and therefore, this position provides oversight of Elliott Group compliance policies and procedures which are designed to ensure: a) that the Board of Directors, management, and employees are trained to and operate in full compliance with applicable laws, rules, and regulations of governing bodies in jurisdictions where Elliott Group conducts business, b) that company policies and procedures are appropriately designed, disseminated, reinforced, and followed, and, where necessary, reviewed and modified and c) that behavior within and on behalf of the organization meets Elliott Group’s standards of conduct as set forth in Elliott Group’s Code of Conduct and “ The Path of Integrity and A Guide to the Elliott Group Code of Conduct.”

This position serves to act as a: (1) channel of communication to receive and direct compliance issues to appropriate resources for investigation and resolution, and (2) a final internal resource with which concerned parties may communicate after other formal channels and resources have been exhausted.


Working Knowledge and Experience

Substantial experience (15 years) functioning in a high level management role with a business/corporate global enterprise and/or global law firm. The individual must have had significant responsibilities that required frequent communications with executive management and must be articulate and demonstrate excellent writing skills. The successful candidate will be able to demonstrate knowledge, experience and qualifications in developing, coordinating, and presenting multifaceted educational and training programs which focus upon compliance and ethics. The candidate must possess significant experience in having independently investigated and acted on matters related to compliance as well as having demonstrated a flexibility to design and coordinate internal investigations in an expedient and equitable manner.

It is essential that the candidate have a working knowledge of the Foreign Corrupt Practices Act and Sarbanes Oxley as well as familiarity and a working knowledge of global compliance regulations, particularly in trade (export) compliance.

Management/supervisory skills and experience are key to this position as the incumbent must be able to multi-task and manage the compliance program globally.

Familiarity with operational, trade, financial, quality, safety, and human resources procedures and regulations.


The successful candidate must demonstrate or provide evidence of possessing the following characteristic and/or attributes via his/her experience:

  • Ethical and principled: These are the single most important qualities of a compliance officer.
  • Fair and modest: Willing to scrutinize all the facts without making a snap judgment, and interview any relevant employees for their perspective.
  • Proactive: A honed alertness and vigilance to potential breaches in compliance. This means actively enforcing a mandatory reporting policy and seeking out any weakness in company dealings.
  • Intelligent and willing to keep learning: Because this industry is subject to constantly changing legislation it is vital that the incumbent be able to ‘stay abreast of constantly changing regulations and requirements – the ability to self-teaching and discipline to staying on top of things is vital.


Build upon the Compliance Department within Elliott Group to ensure that compliance issues within the organization are being properly, reported, evaluated, investigated, and resolved.

Oversee and assess established global compliance program of Elliott Group to ensure its effectiveness in identifying, preventing, detecting and correcting noncompliance within the organization. Initiates, develops, disseminates, educates, maintains, and revises policies and procedures for the general operation of the compliance program to prevent illegal, unethical, or improper conduct. Develops and periodically updates standards of conduct to ensure their continuing relevance in providing guidance to management and employees.

Assessment of organizational risks and provision of strategic direction on compliance matters. Provide regular reports to the Chief Legal Officer and, as necessary to Management, the Internal Control Committee on compliance activities and status. Identify potential areas of vulnerability and, acting in concert with the Chief Legal Officer, develops and implements plans to address those issues. Work constructively and cooperatively with all functional departments of the Company to evaluate behaviors, policies, and circumstances to ensure compliance issues are managed properly and regularly through the existing organizational structure for appropriate investigation and resolution.

Manage primary functions of Compliance Program with focus on trade control, anti-bribery, anti-corruption and privacy; develop and execute compliance work plans for key areas of risk including:

1) Maintain and improve, as necessary, the trade compliance program. Sponsor/Leader of the implementation team for Global Trade Management software designed for screening export transactions for compliance with trade control regulations. Reviewing and analyzing potentially prohibited transactions and making final determinations on release of orders.

2) Establishment and execution of a compliance integration plan for newly acquired and/or affiliated companies.

3) Management of Sales Representative Agreements (60+),including drafting and amending agreements, interpretation of relevant terms, conducting full due diligence, re-certifying annually for compliance and implementing relevant compliance training.

4) Continue to improve upon an established and effective global compliance communication and training program for Elliott Group.

5) Establishment and management of the compliance hotline (such as Report It). Respond to reports of alleged violations by initiating and completing investigations; providing recommendations for consistent handling, resolution and remediation. Ensure proper reporting of violations to duly authorized law enforcement and government agencies as required or appropriate.

6) Development and communication of General Data Protection Regulation readiness plan and related privacy policies.
